Welcome to Egotally. These Terms of Service ("Terms") constitute a legally binding agreement between you and Viqe Systems Ltd, the company behind Egotally ("Company," "we," "us," or "our") regarding your use of our mobile application, website, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

By creating an account, accessing, or using Egotally, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. You also represent that:

• You are at least 18 years old or have reached the age of majority in your jurisdiction
• You have the legal capacity to enter into these Terms
• You will use the Services in compliance with all applicable laws and regulations
• All information you provide is accurate and up-to-date

Egotally provides a personal finance management platform that allows you to:

• Connect bank accounts and credit cards (via third-party services)
• Create automated allocation rules for savings, tithing, bills, and other financial goals
• Generate financial reports and insights

3. User Accounts

3.1 Account Creation

To use our Services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials, all activities that occur under your account, and notifying us immediately of any unauthorised access or security breach.

3.2 Account Security

You agree to use a strong, unique password, enable two-factor authentication when available, not share your account credentials with others, and log out from shared devices.

3.3 Account Accuracy

You must provide accurate, current, and complete information and promptly update your account information if it changes. We reserve the right to suspend or terminate accounts with inaccurate or false information.

4. Acceptable Use Policy

4.1 Prohibited Activities

You agree NOT to use the Services to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful code, viruses, or malware
• Attempt to gain unauthorised access to our systems
• Reverse engineer, decompile, or disassemble our software

4.2 Consequences

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice, and we may report such violations to law enforcement authorities.

5. Fees and Payments

5.1 Free and Paid Plans

Egotally offers both free and paid subscription plans. The specific features, limitations, and pricing for each plan are described on our website and in the app.

5.2 Subscription Terms

• Billing Cycle: Paid subscriptions are billed on a recurring monthly basis
• Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Payment Method: You must provide a valid payment method to subscribe to paid plans
• Price Changes: We may change subscription prices with 30 days' notice

5.3 Cancellation and Refunds

• You may cancel your subscription at any time from your account settings
• Cancellations take effect at the end of the current billing period
• We offer a 7-day starter plan trial for first-time subscribers
• Downgrading from a paid plan to a free plan may result in loss of access to premium features

5.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your use of the Services.

6. Intellectual Property Rights

You retain all rights to the data you input into Egotally. By using our Services, you grant us a limited licence to use, store, and process your data solely to provide and improve the Services.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas, you grant us the right to use them without compensation or obligation to you.

7. Third-Party Services

Our Services may integrate with third-party services (such as bank connection providers). We are not responsible for the availability, accuracy, or reliability of third-party services, the content or practices of third-party websites, or any damages resulting from your use of third-party services. Your use of third-party services is subject to their respective terms and privacy policies.

8. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Financial Advice

WE DO NOT PROVIDE FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE. ANY INFORMATION PROVIDED THROUGH THE SERVICES IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON FOR MAKING FINANCIAL DECISIONS.

8.3 Data Accuracy

While we strive for accuracy, we do not guarantee that transaction data from third parties will be accurate or up-to-date, that calculations, reports, or allocations will be error-free, or that the Services will be uninterrupted or error-free.

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES, UNAUTHORISED ACCESS TO YOUR ACCOUNT OR DATA, ERRORS OR INTERRUPTIONS IN THE SERVICES, OR FINANCIAL DECISIONS MADE BASED ON INFORMATION FROM THE SERVICES.

9. Indemnification

You agree to indemnify, defend, and hold harmless Viqe Systems Ltd, its subsidiaries (including Egotally), officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including attorney's fees) arising from your violation of these Terms, your violation of any applicable laws, your violation of any third-party rights, or your use or misuse of the Services.

10. Termination

10.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature in the app. Upon termination, your access to the Services will be immediately revoked, your data will be deleted within 90 days (except where required by law), and paid subscriptions will not be refunded for the current billing period.

10.2 By Us

We may suspend or terminate your account at any time, without notice, for violation of these Terms, fraudulent, abusive, or illegal activity, extended periods of inactivity, or non-payment of fees.

10.3 Effect of Termination

Upon termination, all licences and rights granted to you will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including disclaimers, limitations of liability, and dispute resolution.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date, notify you via email or in-app notification for material changes, and provide you with 30 days' notice for significant changes. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

12. Dispute Resolution

12.1 Informal Resolution

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, where Viqe Systems Ltd is incorporated and registered, without regard to its conflict of law provisions.

12.3 Arbitration

Any dispute arising from these Terms or your use of the Services will be resolved through binding arbitration in Delta State, Nigeria, the registered place of business of Viqe Systems Ltd, except where prohibited by law.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Egotally regarding the Services.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
